“Services” include but are not limited to: digital marketing, Facebook/Google/YouTube advertising, visual and caption content creation, video editing, website and mobile application development.
2. Use of the Website
You agree to use our website only for lawful purposes. You must not:
Attempt to gain unauthorized access to our systems
Use our content or visuals without proper credit or permission
Post or transmit any material that is threatening, defamatory, misleading, or illegal
We reserve the right to restrict or terminate access to our website at our sole discretion, without notice or liability.
3. Service Agreement
By placing an order or hiring ProDev Digital, you agree to a service contract based on the scope, deliverables, timeline, and payment terms discussed in writing (usually via email, invoice, or formal agreement). All services are subject to:
Timely feedback and content submission from the client
Full or partial upfront payment (depending on the agreement)
Failure to comply may result in delivery delays or cancellation of service.
4. Intellectual Property
Unless otherwise stated, all content developed or displayed by ProDev Digital, including but not limited to designs, text, code, graphics, video, and strategy, is the intellectual property of ProDev Digital or its licensors.
Clients retain rights to content specifically developed for them, once full payment is received. ProDev Digital retains the right to showcase non-confidential client work in its portfolio, unless otherwise agreed.
5. Payment Terms
Payment terms will be specified per project or service. Accepted payment methods include bank transfer, bKash/Nagad, or other methods agreed in writing. Late payments may incur additional charges or service delays.
No refunds will be issued once work has begun, except in cases of duplicate payments or failure to deliver as per contract.
6. Third-Party Tools & Platforms
For services such as digital advertising or website hosting, we may use third-party platforms like Meta Ads, Google Ads, or third-party hosting providers. ProDev Digital is not liable for disruptions, errors, or policy decisions made by these platforms.
It is the client’s responsibility to follow the terms of any connected third-party services.
7. Confidentiality
We respect the privacy of our clients and will not disclose any sensitive information shared with us during a project. Any confidential data provided to us will be handled with the utmost care and not shared without prior written consent.
8. Limitation of Liability
ProDev Digital is not liable for:
Loss of business or revenue caused by errors in strategy or ad campaigns
Downtime or third-party service failures
Any indirect or consequential loss or damage
In any case, ProDev Digital’s liability is limited to the amount paid for the services involved.
9. User-Generated Content
If users submit content (such as testimonials, reviews, or case studies), they grant us a non-exclusive, royalty-free license to use, edit, and publish it across ProDev Digital platforms and marketing materials.
10. Modifications
We reserve the right to revise these Terms and Conditions at any time. Continued use of the website or services after changes are published constitutes acceptance of the revised terms.
11. Termination
We may suspend or terminate a project or account if a client violates these terms, engages in illegal behavior, or fails to make timely payments.
12. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the People’s Republic of Bangladesh. Any disputes arising shall be resolved under local jurisdiction.
